Welcome to AIME Technologies Ltd (“AIME”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of our services, including the AimeVerse web application, Xpell.AI platform, and AIME AI Agent (collectively, the “Service”).

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. Eligibility

You must be at least the age of majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement. We do not knowingly collect information from anyone under the age of 13.

2. Use of the Service

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, informational, or internal business purposes.

You agree not to:

       

      • Modify, distribute, or reproduce any part of the Service without our written permission;

      • Use the Service for any unlawful or prohibited purpose;

      • Circumvent or violate any security features of the Service.

    3. Purchases

    If you purchase products or services via the Service (“Purchase”), you may be required to provide personal and billing information including your name, address, and payment details. You represent that all such information is accurate and that you have the legal right to use the payment method provided.

    4. User Content & Licenses

    The Service may allow you to post, upload, or share content, including text, media, or other materials (“Content”).

    By submitting Content, you:

         

        • Represent that you own or have the right to share such Content;

        • Grant AIME Technologies Ltd a worldwide, non-exclusive, perpetual, royalty-free, sublicensable license to use, reproduce, display, distribute, adapt, and create derivative works from your Content in any form or media.

      You acknowledge that:

           

          • We may use your Content to improve our services, including AI-generated responses;

          • We are not obligated to monitor or remove Content, but we reserve the right to do so at our discretion;

          • You waive any moral rights to the extent permitted by applicable law.

        Confidentiality Notice: Do not submit confidential or proprietary information through the Service. Any such information will be treated as non-confidential.

        5. AI-Generated Content and Automation

        The Service may include features powered by artificial intelligence, such as automated content generation, chat responses, publishing, and recommendations.

        You acknowledge and agree that:

             

            • AI-generated outputs are provided “as-is” and may require human review;

            • You are solely responsible for reviewing, approving, and publishing any AI-generated content;

            • We do not guarantee the accuracy, legality, or reliability of AI-generated outputs.

          6. Termination

          We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms.

          Upon termination, all rights granted to you under these Terms will cease, but any provisions that should survive termination (e.g., content licenses, disclaimers, limitations of liability) will remain in effect.

          7. Third-Party Services and Links

          The Service may contain links or integrations with third-party websites or services. We are not responsible for the content, privacy practices, or terms of those third parties.

          You acknowledge and agree that:

               

              • Any third-party content or services are provided solely for your convenience;

              • AIME Technologies Ltd is not liable for any loss or damage arising from your use of third-party services.

            8. Export Controls & Legal Compliance

            You agree to comply with all applicable export laws and regulations, including but not limited to:

                 

                • U.S. and Israeli export restrictions;

                • Sanctions laws and regulations governing access to the Service;

                • Prohibitions against making the Service available to restricted countries or entities.

              You represent that you are not located in a country or listed on any list subject to U.S. or Israeli trade sanctions.

              9. Limitation of Liability

              To the maximum extent permitted by law, AIME Technologies Ltd and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses resulting from:

                   

                  • Your use or inability to use the Service;

                  • Unauthorized access or alteration of your Content;

                  • Any conduct or content of any third party.

                10. Disclaimer of Warranties

                The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. We do not guarantee that the Service will be:

                     

                    • Error-free or uninterrupted;

                    • Free of viruses or harmful components;

                    • Accurate, complete, or reliable.

                  Your use of the Service is at your sole risk.

                  11. Indemnification

                  You agree to indemnify and hold harmless AIME Technologies Ltd, its affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising out of:

                       

                      • Your use of the Service;

                      • Your violation of these Terms;

                      • Your violation of any rights of a third party.

                    12. Governing Law & Jurisdiction

                    These Terms are governed by the laws of the State of Israel. You agree to submit to the exclusive jurisdiction of the courts located in Tel Aviv, Israel, for any dispute arising out of or relating to the Service.

                    If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

                    13. Changes to These Terms

                    We may update these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the “Last Updated” date above.

                    Your continued use of the Service after changes have been made constitutes your acceptance of the revised Terms.
